When Tata began exploring the acquisition of Air India in 2021, Singapore Airlines was involved as an informal adviser, according to people familiar with the discussions cited in the original report.

The eventual transaction combined Vistara with Air India. Singapore Airlines contributed S$822 million, or about $642 million, in additional capital and received a 25% stake in the enlarged airline. Tata Sons retained the remaining 75%.

The transaction also generated a one-off accounting gain of about S$1.1 billion for Singapore Airlines.

That gain was followed by further funding requirements from Air India, highlighting the gap between the transaction’s initial accounting benefit and the capital needed to support the airline’s transformation.

Five months after the deal was completed, Singapore Airlines injected another S$167 million into Air India. Its total capital investment therefore reached about S$989 million, or $772 million.

Photo: avgeekwithlens/ Harsh Tekriwal

Multiple Shocks Hit Air India’s Transformation

Air India’s turnaround has faced several major setbacks at the same time. The airline has been attempting a large-scale transformation while also dealing with operational problems that have increased costs and disrupted its network.

Supply chain bottlenecks have affected the availability of parts and contributed to delays in fleet upgrades.

Air India has also faced higher jet fuel costs amid wider geopolitical tensions and conflict in the Middle East.

A weakening Indian rupee has added another cost burden because many of Air India’s expenses are denominated in US dollars. When the rupee weakens against the dollar, those dollar-based costs become more expensive in local-currency terms.

A Singapore Airlines executive described the period as an “annus horribilis” for Air India and said the carrier was attempting a transformation on a scale rarely seen in the airline industry while facing several additional problems at the same time. He also said the potential reward could be much larger if the turnaround succeeds.

That higher potential return comes with a corresponding downside. If Air India’s transformation takes longer than expected, Singapore Airlines could face larger losses and potentially greater funding requirements.

The investment therefore carries a clear risk-reward trade-off. Successful execution could create more meaningful long-term returns, while delays in the turnaround could extend losses and increase the amount of capital required.

Photo: Air India

Why Air India Stake Matters for Singapore Airlines

The Air India investment has become an important test of Singapore Airlines’ approach to strategic overseas expansion.

Singapore Airlines has already committed nearly S$989 million in capital to the carrier and has absorbed substantial losses from the investment. The next stage will depend on whether Air India can improve cash flow while completing a complex operational transformation.

Air India’s large domestic market, international network and fleet expansion plans provide significant long-term potential.

However, those opportunities require sustained execution, substantial investment and an operating environment that remains exposed to fuel prices, currency movements, supply chain conditions and geopolitical disruption.

For Singapore Airlines, the immediate question is not simply whether Air India can grow. It is whether the airline can reach sustainable financial performance without requiring repeated capital support on a scale that changes the economics of the original investment.

Stay tuned with us.
