The Fort Worth-based carrier, which operates more than 6,000 daily flights to over 350 destinations, has structured the deal around 22 new or recently delivered aircraft.<\/p>\n\n\n\n<p>Eight of those aircraft are <a href=\"https:\/\/aviationa2z.com\/index.php\/tag\/embraer-e175\/\">Embraer E175<\/a> regional jets that American will lease to wholly owned subsidiary <a href=\"https:\/\/aviationa2z.com\/index.php\/tag\/envoy-air\/\">Envoy Air (MQ)<\/a> for American Eagle flying. That includes 12 of 15 Airbus aircraft and eight of 11 Embraer E175s, plus 2 early 2027 Airbus deliveries.<\/p>\n\n\n\n<p>The debt issuance remains preliminary. Interest rates and offering prices have not been set, so the premium American may have to pay to borrow cannot yet be determined.<\/p>\n\n\n\n<p>Expected ratings are A\/A- for the senior tranche and BBB\/BBB- for the junior tranche. Those ratings reflect the value of the aircraft collateral rather than the airline&#8217;s general credit. American itself remains speculative grade at an S&amp;P rating of B+.<\/p>\n\n\n\n<p>Transactions of this type are structured as enhanced equipment trust certificates. The structure lets airlines pledge specific aircraft as collateral, and because lenders can seize and resell those aircraft in a default, the bonds carry far higher credit ratings than the company itself.<\/p>\n\n\n\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" width=\"1024\" height=\"556\" src=\"https:\/\/aviationa2z.com\/wp-content\/uploads\/2023\/10\/image-145-1024x556.png\" alt=\"American Airlines (AA) has officially placed an order for four new E175 aircraft with Embraer. An April transaction raised $1.141 billion and priced at 5.25% for Class A notes and 5.75% for Class B notes, as reported by <a href=\"https:\/\/viewfromthewing.com\/american-airlines-borrows-1-3-billion-against-new-jets-and-reveals-its-fleet-strategy\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">View from the Wing<\/a>.<\/p>\n\n\n\n<p>That April deal, labelled the 2026-1 notes, offers a useful benchmark for the current transaction. S&amp;P Global rated the 2026-1 Class A notes at A, and the Class B notes at BBB, with a collateral pool of 6 Airbus A321XLRs, 12 A321s, 11 Boeing 737 MAX 8s and 3 Boeing 777-300ERs valued at $1.5 billion.<\/p>\n\n\n\n<p>The Class A tranche totalled about $905 million with a weighted average life of 7.7 years, while the Class B tranche came to about $235.8 million with a weighted average life of 5.5 years. The reconfiguration removes first class, adds more business class seating including new business class suites with doors, and improves premium economy.<\/p>\n\n\n\n<p>The layout moves from 8 first class, 52 business class, 24 premium economy and 216 economy seats to 70 business class, 44 premium economy and 216 economy seats.<\/p>\n\n\n\n<p>The first aircraft, registered N718AN, was sent to Hong Kong in early December 2025 under the airline&#8217;s Project Olympus cabin programme.<\/p>\n\n\n\n<p>The retrofitted 777-300ERs will carry the same business class product as new-delivery Boeing 787-9P aircraft. These aircraft are expected to remain in service into the late 2030s.<\/p>\n\n\n\n<p>American operates 218 Airbus A321-200s. Even so, its fleet strategy reads as premiumize and extend rather than replace.<\/p>\n\n\n\n<p>The strategy rests on 6 elements:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Retrofit the 777-300ER fleet.<\/li>\n\n\n\n<li>Retrofit the Boeing 777-200 and Boeing 787-8 fleet.<\/li>\n\n\n\n<li>Keep A321-200s productive into the 2030s and 2040s.<\/li>\n\n\n\n<li>Add premium-heavy XLRs for thinner long-haul routes.<\/li>\n\n\n\n<li>Expand dual-class E175 flying in small and medium markets.<\/li>\n\n\n\n<li>Finance deliveries with secured borrowing rather than consuming liquidity.<\/li>\n<\/ul>\n\n\n\n<p>The financial logic behind that approach is direct. United is in a similar position to Delta, though that is changing.<\/p>\n\n\n\n<p>The airline needs a capital-efficient approach given its financial underperformance. Fuel expense rose by more than $2.2 billion, or 83% year over year, and revenue strength offset close to half of that increase.<\/p>\n\n\n\n<p>Operating margin fell to 2.7% from 7.9% in the same quarter a year earlier. American now expects full-year adjusted earnings per diluted share between a loss of $0.65 and a gain of $0.65, and anticipates third-quarter revenue growth of 16.0% to 19.0%.<\/p>\n\n\n\n<p>Liquidity remains a stated priority.
